Wallbridge Announces $7M Private Placement with Eric Sprott

Toronto, Ontario -- February 20, 2019 -- Wallbridge Mining Company Limited (TSX:WM, FWB: WC7) (the "Company" or "Wallbridge") is pleased to announce a non-brokered private placement financing (the "Offering") of up to 29,166,667 common shares (the "Common Shares") at a price of $0.24 per Common Share for gross proceeds of up to $7,000,000 to Eric Sprott ("Sprott"), through an affiliated company of Sprott.

Sprott has also exercised 1,666,667 Common Share purchase warrants at an exercise price of $0.15 and 15,000,000 Common Share purchase warrants at an exercise price of $0.20 for aggregate gross proceeds to the Company of $3,250,000.

The completion of the Offering will require the approval from the Company's shareholders (the "Shareholder Approval"), according to the rules and policies of the Toronto Stock Exchange ("TSX"). The Shareholder Approval will be sought at the next annual and special meeting of shareholders of the Company to be held on or around May 8, 2019 and thereafter the Offering will close.

All securities issued pursuant to the Offering are subject to a statutory hold period expiring four months and one day following issuance of the securities in accordance with applicable securities legislation.

The gross proceeds of the Offering will be used for general working capital purposes of the Company.

The Offering constitutes a related party transaction within the meaning of Multilateral Instrument 61-101 ("MI 61-101") as Mr. Sprott, a reporting insider of the Company subscribed for 29,166,667 common shares in the capital of the Company pursuant to the Offering. The Company is relying on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101, as the fair market value of the participation in the Offering by Mr. Sprott does not exceed 25% of the market capitalization of the Company, as determined in accordance with MI 61-101. The Company did not file a material change report in respect of the related party transaction at least 21 days before the closing of the Offering, which the Company deems reasonable in the circumstances in order to complete the Offering in an expeditious manner.
